01 — Acceptance of Terms
These Website Terms and Conditions (“Terms”) govern your access to and use of the FutureState, Inc. website located at futurestate.io and any related subdomains or microsites (collectively, the “Site”). By accessing or browsing the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, please discontinue use of the Site immediately. FutureState reserves the right to update these Terms at any time. We will indicate the effective date of the most recent revision at the top of this page. Continued use of the Site following any update constitutes your acceptance of the revised Terms.
02 — Scope of This Document
These Terms apply to all visitors to the Site, regardless of whether you are a current or prospective customer of FutureState. They govern your use of the Site only — not the
FutureState platform or any software products. If you are an institution or organization that has contracted with FutureState for access to our campus credential management solutions, your use of those products is separately governed by your executed agreement and End User
License Agreement (EULA).
Nothing on this Site constitutes an offer to enter into a contract, a warranty regarding FutureState products or services, or legal or professional advice. Product descriptions, feature overviews, and case studies are provided for informational purposes only.
03 — Permitted Use
You may access and use the Site for lawful, informational purposes in accordance with these Terms. You agree not to:
* Use automated tools, bots, scrapers, or crawlers to extract content from the Site without FutureState’s prior written consent
* Attempt to gain unauthorized access to any portion of the Site or its underlying infrastructure
* Transmit any malicious code, spam, or unsolicited communications through any contact forms or interactive features on the Site
* Use the Site in any manner that could impair its performance, availability, or accessibility to other visitors
* Reproduce, redistribute, or commercially exploit Site content without express written permission from FutureState
* Misrepresent your identity or affiliation with any person or organization when using interactive features of the Site FutureState reserves the right to restrict or terminate access to the Site for any visitor who violates these Terms or uses the Site in a manner we determine, in our sole discretion, to be harmful or inappropriate.
04 — Intellectual Property
All content on the Site — including text, graphics, logos, icons, images, product descriptions, data compilations, and software — is the property of FutureState, Inc. or its content licensors and is protected by applicable intellectual property laws. The FutureState name, logo, and product names (including but not limited to CardSync, CardPulse, and BalanceU) are the property of FutureState, Inc.
You may view, print, and download content from the Site for your own personal, non- commercial reference. Any other use — including reproduction for publication, redistribution,
modification, or commercial use — requires prior written authorization from FutureState. Nothing in these Terms grants you any license to FutureState’s intellectual property beyond what is expressly stated here.
05 — Visitor-Submitted Content
Certain areas of the Site may allow you to submit inquiries, comments, or other content (“Submissions”) through contact forms, demo request forms, or similar features. By submitting any content, you represent that you have the right to do so and that your Submission does not violate any third-party rights or applicable law.
You grant FutureState a non-exclusive, royalty-free, worldwide license to use, reproduce, and display your Submissions for the purpose of responding to your inquiry or improving the Site.
FutureState does not claim ownership of your Submissions and will not share them with third parties except as necessary to respond to your request or as required by law.
Please do not submit sensitive personal data, confidential business information, or proprietary material through Site forms. FutureState assumes no obligation of confidentiality with respect to unsolicited Submissions.
06 — Privacy & Cookies
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect information gathered when you visit the Site, including through cookies and analytics tools.

The Site and all content contained herein are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
FutureState does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We make no warranty as to the accuracy, completeness, or timeliness of any content on the Site. Product descriptions, roadmap references, and capability statements are subject to change and do not constitute representations or warranties regarding current or future product features.
FutureState expressly disclaims any liability arising from reliance on information obtained through the Site. Any decisions made based on Site content are made at your sole risk.
09 — Limitation of Liability
To the fullest extent permitted by applicable law, FutureState, Inc. and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your access to or use of — or inability to access or use — the Site or any content therein, even if FutureState has been advised of the possibility of such damages.
In no event shall FutureState’s total liability to you for all claims arising from or related to your use of the Site exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitation may not apply to you in full.
10 — Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or your use of the Site that is not resolved informally shall be subject to the
exclusive jurisdiction of the state and federal courts located in Arizona, and you consent to the personal jurisdiction of such courts.
If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. These Terms constitute the entire agreement between you and FutureState with respect to your use of the Site and supersede any prior agreements on the same subject matter.
